We are working with a renowned international law firm that is seeking an experienced fund formation attorney to join its Chicago office as an associate. Responsibilities:
· Assist private equity fund sponsors with the preparation and negotiation of fund private placement memoranda, partnership agreements and related ancillary agreements
· Review fund documentation on behalf of institutional investors
· Structure and draft governing documents pertaining to private equity fund management companies and general partners
Required Qualifications:
· 4-6 years of significant experience with private equity fund formation and related matters
· Knowledge of relevant securities rules and regulations, including the Investment Advisers Act
· Experience with private equity secondary transactions and/or GP-led restructurings is a plus
· Strong academic credentials
· Large law firm experience

Compensation:
The anticipated base salary range for this position is $310,000 – $390,000.
