About the Position:
Our client, a global mid-market investment bank with offices across 15 countries throughout Europe, Asia and the Americas, is actively seeking an attorney with 4-6 years of corporate experience at a law firm or publicly traded company to join its Chicago-based legal team as a Senior Counsel. Preferred candidates can come from a range of corporate practices including private funds, securities, capital markets, or M&A. The individual in this role will work collaboratively with all attorneys and professionals in the legal and compliance functions on corporate legal projects, engagement letters, partnership and other corporate documentation, and operations.

Responsibilities:
· Collaborate with other legal counsel to maintain, review and update engagement letter templates, including for sell-side, buy-side, capital raising, restructuring, and valuation assignments
· Prepare and negotiate engagement letters, including cross-border deals, and ancillary documents with potential clients
· Work with legal counsel on special corporate legal projects such as corporate structural work and integration of company’s international subsidiaries
· Work on corporate governance and securities matters
· Assist with drafting corporate agreements such as consulting, inter-company and fee sharing agreements
· Assist with legal documentation related to the U.S. partnership’s ownership in foreign entities and establishment of new international offices (or entities abroad and in the US)
· Assist with the implementation of a contract management system and legal intake system
· Work with other departments such as HR, finance, marketing and IT to contribute to the organization’s financial and operational success
· Assist with policy review and development
Required Qualifications:
· 4 to 6 years of corporate experience at a law firm or publicly traded company
· Significant experience with any of funds, securities, capital markets, or M&A
· Strong academic credentials
Location:

Compensation:
The anticipated base salary range for this position is $220,000 – $250,000.
