About the Position:
Our client, a highly regarded Am Law, is seeking a corporate securities/capital markets lawyer to join its Chicago headquarters as an associate. This practice group provides comprehensive capital markets and securities law counseling and represents organizations in all phases of the capital-raising process, from private placements, initial public offerings and secondary offerings to recapitalization and going-private transactions.

Responsibilities:
· Advise public and private companies on a range of capital markets transactions, including registered public offerings, private placements, and offerings under Rule 144A and Regulation S
· Advise clients on SEC disclosure requirements
· Represent clients with M&A and general corporate matters

Required Qualifications:
· 1-3 years of strong corporate transactional experience, including securities, capital markets and M&A
· Experience working on debt and equity offerings, M&A, and SEC compliance/reporting
· Large law firm experience
· Excellent academic credentials

Compensation:
The anticipated base salary range for this position is $225,000 – $240,000.
