About the Position:
Our client, a national Am Law 200 firm, is seeking an associate to join its Corporate and Securities practice in Chicago. The group advises private and public companies of all sizes on a broad range of corporate and securities matters.

Responsibilities:
· Guide clients through a range of corporate and securities matters, including the acquisition and disposition of stocks and assets
· Advise clients on corporate governance matters, including board and shareholder actions related to transactions
· Counsel clients on securities law compliance and regulatory requirements applicable to their transactions and ongoing operations

Required Qualifications:
· 3+ years representing buyers, sellers, PE firms, or investors in M&A, divestiture, joint venture, or securities transactions
· Proven ability to lead due diligence, draft and negotiate transaction documents, and manage deal processes from initiation through closing
· Working knowledge of corporate governance matters and securities law/regulatory compliance counseling

Compensation:
The anticipated base salary range for this position is $215,000 – $290,000.
