About the Position:
Our client, a dynamic national law firm, has a need for a business litigation/corporate governance attorney to join its Chicago office as an associate. The firm handles high-stakes commercial disputes for a wide range of clients, litigating through trial and appeal.

Responsibilities:
· Guide sophisticated business disputes from start to finish in litigation and arbitration, handling case strategy, discovery, motion practice, and trial or hearing preparation
· Prepare pleadings, briefs, dispositive motions, and other key court filings
· Review governance documents, deal agreements, and financial records to pinpoint critical factual, legal, and damages issues in post-transaction disputes involving earn-outs, indemnification, purchase price adjustments, and reps and warranties
· Take and defend depositions, prepare witnesses, and partner with clients, financial professionals, and experts to shape practical litigation strategies

Required Qualifications:
· 3-6 years of business litigation experience
· Background in corporate governance, fiduciary duty, ownership, or post-M&A disputes; familiarity with Delaware corporate law or Delaware courts preferred
· Experience analyzing financial statements and working with business valuations and damages models
· Strong academic credentials and research, writing, and advocacy skills

Compensation:
The anticipated base salary range for this position is $187,000 – $360,000.
