About the Position:
Our client, a boutique Chicago law firm with a sophisticated corporate practice, is actively seeking a corporate attorney to join the firm as an associate. Responsibilities:
· Lead and manage complex business transactions, including mergers and acquisitions and capital raises
· Advise clients on day‑to‑day legal and strategic business matters, in an outside GC capacity
· Draft, review, and negotiate a wide range of commercial contracts and transactional documents
· Lead entity formation, restructuring, and corporate governance matters
· Analyze and apply current and emerging laws and regulations to guide clients in making informed, risk-conscious decisions

Required Qualifications:
. 4-7+ years of corporate transactional experience, including M&A, capital raises, business/entity formation, and contract drafting and negotiation
· Experience with entity taxation is a plus
· Desire for a client-facing and dynamic practice
