About the Position:
Our client, a global Am Law 100 Firm, has a new and active need for a corporate attorney with public securities experience to join its Chicago office as an associate. Attorneys in this nationally recognized practice have handled transaction values ranging from roughly $5 million to $3.5 billion, and represent a sophisticated client base, including public and private issuers, underwriters, placement agents, and investors.

Responsibilities:
· Represent public and private companies, investment banks and/or investors with securities offerings, 1934 Exchange Act reporting and compliance, and corporate governance
· Draft and negotiate legal documents relating to corporate and securities transactions, including stock purchase and subscription agreements, registration rights agreements, registration statements and offering memoranda
· Work on a variety of general corporate matters

Required Qualifications:
· 3-5 years public securities and general corporate experience
· Background practicing at a nationally recognized law firm
· Experience handling matters involving companies outside of the U.S. or strategic transactions for public companies is a plus
· Strong academic credentials

Location:
Chicago, IL (Hybrid)

Compensation:
The anticipated base salary range for this position is $225,000 – $420,000.
