About the Position:
Our client, an entrepreneurial law firm rooted in the Midwest, is actively seeking a corporate securities attorney with 7-10 years of experience to join its Chicago office (flexibility with title based on experience level). This practice is known for its deep securities expertise and its clients range from early-stage startups obtaining initial funding to high-growth companies engaged in mergers and acquisitions and public companies securing large-scale financing.

Responsibilities:
· Provide support and advice on large IPOs and other public and private securities transactions and lead smaller transactions
· Handle securities compliance matters, including advising publicly reporting companies in transactional, governance, and disclosure matters, and advising emerging growth companies on various forms of exempt offering financing matters
· Represent clients in corporate formation matters and assist with facilitating complex capital raising transactions

Required Qualifications:
· 7-10 years of significant experience with securities matters, including public and private securities offerings, preparation of registration statements for IPOs, secondary offerings, mergers, proxy statements, and other filings
· Strong knowledge of issues arising under the 1934 Act and Investment Company Act, related disclosures, and other regulatory obligations strongly preferred
· Portable business is a plus, but is not required

Location:
Chicago, IL (Hybrid)

Compensation:
The anticipated base salary range for this position is $218,000+.
