About the Position:
Our client, a premier law firm, is seeking an attorney focused on corporate and technology transactions to join its Downtown Manhattan office as an associate. The firm supports companies across their full lifecycle, from entity formation and structuring through governance matters, commercial transactions, and ongoing operational issues. The team also acts as outside general counsel for a number of clients, offering business-minded advice tailored to each company’s goals.

Responsibilities:
· Represent private equity clients and strategic buyers and sellers in lower-middle-market M&A transactions, including repeat matters for established sponsor clients
· Prepare and negotiate purchase agreements, assignment and assumption agreements, and related ancillary deal documents
· Structure highly customized services and commercial agreements for clients in AI, robotics, commercial drones, and other emerging technology sectors, often blending regulatory, operational, and IP considerations
· Partner directly with senior attorneys on matters, guide junior associates, and contribute to the team’s business development efforts

Required Qualifications:
· 4-7 years of experience in corporate, technology transactions, or sophisticated commercial contracting
· Significant hands-on experience drafting and negotiating complex transactional agreements
· Ability to take ownership of assignments and exercise sound judgment on novel legal issues
· Genuine interest in building client relationships and helping grow the practice

Location:
Manhattan – Downtown, NY (Hybrid)

Compensation:
The anticipated base salary range for this position is $240,000 – $300,000.
