About the Position:
Our client, a global Am Law firm, is actively seeking an experienced compensation and benefits attorney with a background representing private equity sponsors to join it’s Chicago office as an associate. Attorneys in this practice are sought after by high-growth startups to public company boards and senior executives for their deep experience spanning executive compensation, ERISA, M&A-driven benefits, and complex regulatory matters. The group advises on the most sophisticated, high-impact issues across the full lifecycle of a company.

Responsibilities:
· Advise private and public companies, including private equity sponsors, on executive compensation and employee benefits matters, including employment agreements, equity compensation, bonus and incentive plans, severance and change-in-control arrangements, and deferred compensation
· Represent private equity sponsors in acquisitions and divestitures, including advising on compensation and benefits matters arising in connection with M&A, IPOs, financings, and other corporate transactions
· Handle portfolio company matters, including profits interests and other LLC incentive awards, management holding company structures, rollover equity, and employment and severance arrangements
· Design and advise on cash- and equity-based incentive arrangements, retention programs, and other compensation arrangements for employees and directors
Required Qualifications:
· 5+ years of executive compensation and employee benefits experience, including representation of private equity sponsors handling of portfolio company matters
· Experience with M&A involving privately held companies, including related tax considerations and executive compensation and employee benefits matters
· Strong academic credentials

Compensation:
The anticipated base salary range for this position is $365,000+.
