About the Position:
Our client, a top-tier global law firm, is actively seeking an executive compensation and benefits attorney to join its Chicago tax practice group as an associate. The firm advises clients on the full spectrum of retirement, executive compensation, and health and welfare plans, including design, regulatory compliance under ERISA. and the tax code to benefits-related disputes.

Responsibilities:
· Advise clients on executive compensation and employee benefits issues in connection with mergers, acquisitions, and other corporate transactions
· Structure, draft, and negotiate equity compensation arrangements for corporate and partnership entities, including options and profits interests
· Analyze compensation-related matters under IRC Sections 280G and 409A, including golden parachute and deferred compensation issues arising in deals
· Conduct benefits and compensation due diligence and coordinate with corporate and tax teams throughout the transaction lifecycle
Required Qualifications:
· 3+ years of experience handling executive compensation and employee benefits work, with particular depth in the M&A context
· Hands-on experience with equity compensation arrangements for both corporate and partnership structures
· Familiarity with the requirements of IRC Sections 280G and 409A
· Strong academic background, paired with excellent writing, verbal communication, and analytical abilities

Compensation:
The anticipated base salary range for this position is $365,000 – $420,000.
