About the Position:
Our client, a leading international law firm, is seeking an experienced finance attorney to join its Chicago office as an associate. This practice advises global sponsors and institutional investors across the entire lifecycle of private capital, specializing in middle-market buyouts, private credit, and mezzanine financing. Notably, the team commands nearly 3/4 of the market share of the U.S. Small Business Investment Company (SBIC) program.

Responsibilities:
· Work with senior secured lenders, mezzanine lenders, agent banks, private equity sponsors and borrowers to assist in executing private credit transactions
· Draft and negotiate transaction documents for complex private equity investments and mezzanine debt financings
· Serve as the primary second chair, managing day-to-day deal flow, coordinating cross-functional teams, and driving transactions from term sheet to closing
· Manage regulatory compliance, structural considerations, and reporting requirements for Small Business Investment Company (SBIC) fund investments and financings
· Document, negotiate and perform due diligence for a range of financial transactions
Required Qualifications:
· 4+ years of experience of corporate finance experience, including mezzanine debt and/or private equity experience
· Experience with SBIC funds preferred
· Strong academic credentials

Compensation:
The anticipated base salary range for this position is $310,000+.
