About the Position:
Our client, a renowned international law firm, is seeking an experienced fund formation attorney to join its Chicago office as an associate. Attorneys in this Chambers-ranked practice represent fund sponsors in the structuring and formation of private investment funds in nearly all strategies and receive support from lawyers in the firm’s other offices and practice areas.

Responsibilities:
· Assist private equity fund sponsors with the preparation and negotiation of fund private placement memoranda, partnership agreements and related ancillary agreements
· Review fund documentation on behalf of institutional investors
· Structure and draft governing documents pertaining to private equity fund management companies and general partners

Required Qualifications:
· 4-6 years of significant experience with private equity fund formation and related matters
· Knowledge of relevant securities rules and regulations, including the Investment Advisers Act
· Experience with private equity secondary transactions and/or GP-led restructurings is a plus
· Strong academic credentials
· Large law firm experience

Compensation:
The anticipated base salary range for this position is $310,000 – $390,000.
