About the Position:
Our client, a premier national Am Law firm, has an active need for a fund formation lawyer (M&A experience preferred) to join the corporate practice in its Chicago office as an associate. This law firm boasts a sophisticated corporate and fund formation practice, advising sponsors, investors, and companies on complex transactions, private funds, joint ventures, and strategic investments.

Responsibilities:
· Counsel public and private company clients on a range of complex business transactions, including securities offerings, mergers and acquisitions, and private equity fund formation and operation
· Draft and review fund documentation, including subscription agreements, side letters, and registration statements
· Assist clients with the preparation of 1933 and 1934 Act filings
· Perform due diligence on public and private companies

Qualifications:
· 4-6 years of fund formation experience
· Experience with M&A transactions preferred
· Strong academic credentials

Compensation:
The anticipated base salary range for this position is $245,000 – $340,000.
