About the Position:
Our client, a global Am Law 50 Firm, is actively seeking a fund formation lawyer (private funds) to join its Chicago office as an associate. This person in this role will work on all aspects of fund formation, operations, and compliance. This firm boasts more than 200 private funds-focused attorneys across the United States, Europe and Asia with a client base that includes the largest and most well-known fund sponsors, investors, and investment advisers.

Responsibilities:
· Advise clients on the formation, structuring, and operation of private investment funds across a range of asset classes
· Draft and negotiate fund formation documents as well as management company and general partner entity formation documents
· Counsel clients on fund governance, economic terms, fee structures, and co-investment arrangements
· Ensure compliance with applicable securities laws and conduct due diligence reviews

Required Qualifications:
· 3-6 years of private fund formation experience
· Strong knowledge of applicable securities law and regulations
· Excellent academic credentials

Location:
Chicago, IL (Hybrid)

Compensation:
The anticipated base salary range for this position is $260,000 – $390,000.
