About the Position:
We are working with a sophisticated private family office that has an immediate need for a board governance paralegal/manager (5+ yrs) to join its legal team in Chicago.

· Manage corporate documents and records
· Prepare draft agendas for board and committees
· Manage board and committee meetings logistics
· Facilitate orientation of new board members as well as assist with director training
· Manage annual elections of committee members, directors, and officers
· Prepare reports for board, committee, and management
· Oversee the Corporate Transparency Act process
· Work with outside vendors in relation to governance and ongoing filings

Required Qualifications:
· 5 or more years of board governance experience
· Knowledge of governance meeting procedures including minute taking
· Experience with corporate entity formation and maintenance
· Previous experience working in a family office, trust company, or investment management office is a plus
· Proficiency in Adobe and Microsoft Office
· Strong communication and time management skills
