About the Position:
Our client, a global leader in industrial automation solutions, is seeking a Corporate Counsel to join its legal team in the western suburbs of Chicago. This is a broad, business-facing generalist role with a focus on commercial transactions, M&A, and employment law. The position offers the opportunity to work closely with senior leadership and cross-functional teams to provide strategic legal guidance that supports ongoing growth.

Responsibilities:
· Draft, review, and negotiate a wide range of commercial agreements, including customer, vendor, supply, distribution, and service contracts
· Support M&A transactions, including due diligence, deal structuring, and transaction documentation
· Oversee pre-litigation disputes and manage outside counsel on active litigation matters
· Advise on employment law matters, including policies, compliance, and workplace issues
· Provide day-to-day legal counsel on corporate governance, regulatory compliance, IP, data privacy, and risk management
· Partner with internal teams across sales, operations, HR, and finance to identify risks and develop practical solutions
· Assist with development of contract templates, playbooks, and internal legal processes
· Manage relationships with outside counsel, including scope, budget, and deliverables

Required Qualifications:
· 5-7 years of transactional experience (law firm and/or in-house)
· Strong experience drafting and negotiating commercial contracts
· Working knowledge of M&A transactions and processes
· Familiarity with employment law and related compliance matters

Location:
Western Chicago suburbs, IL (Hybrid)

Compensation:
The anticipated base salary for this position is $165,000 – $190,000.
