About the Position:
Our client, a privately held and highly active industrial real estate investment and development platform, is seeking a Senior Corporate Paralegal to join its Chicago headquarters. This is a high-impact, business-facing role reporting directly to the General Counsel and working closely with executive leadership.

While the company operates in the real estate space, this is not a traditional real estate paralegal role. The position is primarily focused on corporate governance, entity management, and transaction execution, with real estate matters largely handled by outside counsel.

This is an excellent opportunity for a seasoned, in-house paralegal who thrives in a fast-paced, highly collaborative environment and is comfortable operating independently with significant visibility across the organization.

Responsibilities:
· Manage corporate governance, entity formation, and ongoing compliance across a multi-entity structure
· Support transaction execution, including document control and signature page coordination (core component of the role)
· Serve as a central point of coordination across executives, legal, and external stakeholders
· Maintain and organize legal and transaction documentation and systems
· Track key transaction milestones, deliverables, and post-closing obligations
· Assist with drafting and organizing corporate and transactional documents under attorney supervision
· Coordinate with outside counsel on real estate and transactional matters
· Support cross-functional teams including finance, development, and operations
· Handle process-driven administrative components tied to transactions (e.g., document distribution, logistics)
· Lead special projects and contribute to legal department efficiency and process improvements

Required Qualifications:
· Bachelor’s degree required; Paralegal Certificate preferred
· 10+ years of in-house corporate paralegal experience
· Demonstrated experience with corporate governance, entity management, and transaction coordination
· Proficiency with Microsoft Office and document management systems

Location:
Chicago, IL (Hybrid, 4 days in office)

Compensation:
The anticipated base salary range for this position is $130,000 – $150,000, plus approximately 10% bonus and a comprehensive benefits package.
