About the Position:
Our client, a national Am Law 100 Firm, has an active need for a corporate lawyer to join its Chicago office as a mid-level associate. Attorneys in this growing, nationally-ranked practice represent both venture capital funds and venture-backed companies nationwide, remaining actively engaged with their venture fund clients throughout the entire growth cycle. The team has participated in hundreds of millions of dollars in venture fund transactions on behalf of its emerging growth clients.

Responsibilities:
· Advise early-stage companies and investors on general corporate matters, including corporate governance and securities compliance
· Draft and negotiate venture financing documents, including term sheets, stock purchase agreements, and convertible instruments
· Support due diligence for new investments and follow-on financings
· Oversee equity compensation programs, including option grants, received stock units, and employee stock purchase plans
· Keep abreast of venture capital trends, corporate law developments, and best practices for startup and growth-stage companies and their investors

Required Qualifications:
· 3-4 years of experience with venture capital transactions in a law firm environment
· Strong academic credentials

Compensation:
The anticipated base salary range for this position is $225,000 – $255,000.
